Terms of service

Last updated: 4 August 2026

These Terms of Service apply to your use of www.tyack.com.au and to products and services supplied by Tyack Ecommerce Solutions (ABN 49 976 329 468), referred to in these Terms as “Tyack Ecommerce Solutions”, “we”, “us” or “our”.

By using this website, purchasing a product or service, accepting a proposal or instructing us to begin work, you agree to these Terms and any applicable product page, proposal, invoice, project scope or written agreement.

If a proposal, invoice or written agreement contains terms that differ from these Terms, the more specific written terms will apply to that project.

1. Our Services

Tyack Ecommerce Solutions provides digital and ecommerce services, including:

  • Shopify website and dropshipping store builds;
  • website migrations, redesigns and maintenance;
  • WordPress and service-business websites;
  • Google Ads, SEO, email marketing and digital strategy services;
  • audits, consulting, mentoring and implementation support;
  • digital guides, reports, templates and other downloadable products; and
  • the sale or transfer of pre-built or established online stores and associated digital assets, where specifically advertised.

The inclusions, exclusions, timeframe, support period and deliverables for each purchase are described on the applicable product page, proposal, invoice or written project agreement.

2. Website Information

We aim to keep the information on this website accurate and current. Service descriptions, package inclusions, prices, examples and availability may change from time to time.

If there is an obvious pricing, description or technical error, we may correct it. If an error affects an order already placed, we will contact you before proceeding and provide an appropriate option, which may include confirming the corrected details or cancelling and refunding the affected purchase.

3. Quotes, Proposals and Project Scope

A quote or proposal is based on the information available when it is prepared and is valid for the period stated in that document.

Only the work expressly included in the agreed scope is included in the price. Requests for additional pages, products, functionality, integrations, revisions, advertising work, content or other services may be treated as additional work.

We will explain any material change to scope and obtain your approval before charging an additional fee.

4. Prices, GST and Payment

Prices are displayed in Australian dollars unless stated otherwise. GST will be included or added where applicable and will be shown on the relevant product page, quote or invoice.

Payment terms, deposits and instalments are set out on the applicable product page, invoice, proposal or agreement. Unless otherwise agreed in writing, required deposits must be paid before work begins and final payment must be received before final ownership, administrator access or completed digital assets are transferred.

Deposits

A deposit may be required before work commences on a project. Payment of a deposit secures your place in our schedule and allows planning, consultation and project preparation to begin.

Unless otherwise agreed in writing, all deposits are non-refundable.

Deposits are used to cover time already invested in project planning, consultations, research, administration, scheduling and other work completed prior to the commencement of development.

If a client chooses to cancel or postpone a project after a deposit has been paid, Tyack Ecommerce Solutions reserves the right to retain the deposit to cover work completed and the loss of allocated project time.

Any additional work completed beyond the value of the deposit may also be invoiced separately.

Due to the nature of digital marketing, consulting, website development and creative services, refunds are generally not provided once work has commenced.

Client Delays & Changes

If a project is delayed due to client requests, failure to provide content, approvals or required information, Tyack Ecommerce Solutions reserves the right to reschedule the project based on current availability.

Significant changes to the original project scope may require a revised quotation and timeline.

You are responsible for third-party costs that are not expressly included in our fee, such as Shopify subscriptions, domains, premium themes, paid apps, advertising spend, email platforms, supplier fees and payment-processing charges.

5. Client Responsibilities

You agree to provide accurate information, content, approvals, feedback and account access reasonably required to complete the work.

You are responsible for:

  • reviewing and approving content, designs, products, pricing and settings;
  • ensuring that material you provide is accurate, lawful and does not infringe another person’s rights;
  • maintaining appropriate licences, registrations, insurance and permissions for your business;
  • paying third-party subscriptions, supplier costs and advertising budgets;
  • protecting passwords and account credentials after handover; and
  • operating, marketing and managing the business after launch unless ongoing services have been purchased.

6. Timeframes and Delays

Any project timeframe is an estimate unless a fixed deadline is expressly agreed in writing.

Delivery may depend on timely client feedback, approvals, payment, account access and third-party services. We are not responsible for delays caused by missing information, delayed approvals, platform reviews, supplier processes or events outside our reasonable control.

If a project is delayed by the client for an extended period, we may pause and reschedule the work after providing reasonable notice. Any revised timing will depend on our current availability.

7. Revisions and Additional Work

Included revisions will be described in the relevant package or project scope. Revisions must relate to the agreed work and should be provided within the requested review period.

Major changes in direction, repeated revisions beyond the included allowance, new functionality or work outside the original scope may require a separate quote or approval at our applicable hourly rate.

8. Digital Delivery, Handover and Support

Our products and services are generally delivered digitally. Delivery may occur by email, download link, shared folder, completed website, account access or formal project handover.

Website ownership, administrator access and agreed digital assets will be transferred once the applicable payment and handover requirements have been met.

Post-handover support is limited to the period and scope stated on the relevant product page, pricing page, proposal or agreement. Support generally covers reasonable questions about the delivered work and correction of issues directly related to the agreed scope. It does not automatically include ongoing management, new design work, additional functionality, marketing services or substantial changes.

Further details are available in our Digital Delivery, Project Fulfilment & Website Transfer Policy.

9. Pre-Built and Established Online Stores

Where we advertise a pre-built or established online store, the assets included in the sale will be listed on the applicable page, proposal or sale agreement.

Only assets specifically identified as included will be transferred. Some domains, subscriptions, software, supplier accounts, advertising accounts, customer information or third-party services may be subject to separate approval, transfer restrictions or ongoing fees.

Unless expressly stated in writing, we do not guarantee future sales, profitability, advertising performance, search rankings or business value.

10. Intellectual Property

Once all applicable fees have been paid, you will own the final bespoke website content and deliverables created specifically for your project, except for:

  • third-party themes, fonts, images, apps, software and other licensed materials;
  • our pre-existing templates, systems, methods, processes, know-how and reusable code; and
  • any material expressly licensed rather than assigned.

You grant us permission to use content, logos, images, data and account access supplied by you solely as reasonably required to provide the agreed services.

Unless you ask us not to in writing, we may identify your business and display non-confidential examples of completed work in our portfolio, proposals and marketing. We will not intentionally publish confidential account information, customer data or commercially sensitive results without permission.

11. Third-Party Platforms, Suppliers and Services

Our services may rely on third parties such as Shopify, Google, Meta, Klaviyo, domain providers, app developers, payment processors and dropshipping suppliers.

Third parties operate under their own terms, pricing, policies, technical requirements and approval processes. Their services may change, be suspended or become unavailable independently of Tyack Ecommerce Solutions.

We will provide the assistance included in the agreed scope, but we do not control and cannot guarantee the continued availability, approval or performance of a third-party platform, app, supplier or account.

12. Advertising, SEO and Performance

Advertising, SEO, ecommerce and website outcomes are influenced by many factors outside our control, including the offer, products, pricing, budget, competition, website, market conditions, customer demand and the client’s implementation and ongoing management.

Historical revenue, return on ad spend, search visibility, conversion or client examples are provided as examples only. They do not represent a promise, forecast or guarantee of what another client will achieve.

Unless expressly agreed otherwise, we do not guarantee a particular number of sales, leads, conversions, rankings, revenue, profit or return on investment.

13. Accounts and Acceptable Use

You must not use this website or our services for unlawful, fraudulent, misleading, abusive or harmful purposes. You must not attempt to interfere with the website, introduce malicious code, gain unauthorised access, scrape protected content or infringe our rights or the rights of another person.

You are responsible for maintaining the confidentiality of any account credentials and for activity carried out through your account.

14. Cancellations, Refunds and Consumer Rights

Cancellations, refunds and remedies are governed by the applicable proposal or agreement, our Refund Policy and Australian Consumer Law.

Because many services involve reserved time, strategy, custom work or digital delivery, a change of mind does not automatically create a right to a refund. However, nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded.

Please contact us promptly if you believe a product or service has not been supplied in accordance with the agreed scope so that we can review the issue and work toward an appropriate resolution.

15. Privacy and Confidentiality

We handle personal information in accordance with our Privacy Policy.

Each party agrees to take reasonable steps to protect confidential information received from the other party and to use it only for the purpose for which it was provided, except where disclosure is authorised or required by law.

16. Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including rights and remedies available under Australian Consumer Law.

To the extent permitted by law, we are not responsible for indirect or consequential loss that was not reasonably foreseeable, or for loss caused by:

  • incorrect, incomplete or unlawful information supplied by the client;
  • client decisions, changes or failure to follow agreed recommendations;
  • third-party platforms, suppliers, apps, advertising networks or payment providers;
  • unauthorised account access occurring after credentials have been handed over; or
  • events outside our reasonable control.

Where a service guarantee applies and the law permits a limitation, our responsibility may be limited to supplying the affected service again or paying the reasonable cost of having it supplied again.

17. Client-Supplied Material and Claims

You are responsible for claims arising from content, products, instructions or materials you provide where those materials are unlawful, misleading, defamatory or infringe another person’s intellectual property or other rights.

This does not apply to the extent that a claim results from our negligence, unlawful conduct or breach of these Terms.

18. Suspension and Termination

Either party may terminate an ongoing service in accordance with the notice period stated in the applicable agreement.

We may pause or terminate services if an invoice remains overdue, required access is not provided, the client requests unlawful work, or there is a serious or repeated breach of these Terms. Where reasonably possible, we will provide notice and an opportunity to remedy the issue.

Termination does not affect rights, payment obligations or liabilities that arose before termination.

19. Disputes

If a concern arises, please contact us first and provide enough information for us to investigate it. Both parties agree to make a genuine attempt to resolve the matter through direct discussion before commencing formal proceedings, except where urgent relief is required.

20. Changes to These Terms

We may update these Terms to reflect changes to our services, business practices or legal obligations. The revised Terms will be published on this page with an updated date.

Changes will apply to future website use and future purchases. Existing projects will continue to be governed by the terms accepted when the project began unless the parties agree otherwise in writing.

21. Governing Law

These Terms are governed by the laws of Victoria, Australia. The parties submit to the courts and tribunals that have jurisdiction in Victoria, subject to any rights that apply under Australian Consumer Law.
