Terms and Conditions of transfer of website and assets of a sold shopify account online store and associated assets.

 

1. Introduction

These Terms and Conditions of Sale (hereinafter referred to as "Terms") govern the sale of the website and associated assets, hereafter referred to as the "Website," on the Shopify platform (the "Platform"). These Terms are a legally binding agreement between the Seller (the "Seller") and the Buyer (the "Buyer"). By purchasing the Website, the Buyer agrees to comply with and be bound by these Terms. Please read these Terms carefully.

2. Sale of the Website

2.1. The Seller agrees to sell and transfer ownership of the Website to the Buyer as described in the sale agreement. The Website includes all associated assets and data necessary for its operation.

2.2. The Buyer acknowledges that the Website is sold "as is," and the Seller makes no warranties regarding the Website's future performance or profitability.

3. Purchase Price and Payment

3.1. The Buyer agrees to pay the purchase price for the Website as specified in the sale agreement.

3.2. Payment will be made via the agreed-upon method.

4. Handover of Assets

4.1. The Seller will provide the Buyer with all necessary access credentials to the Shopify store, including the administrator account and associated email addresses.

4.2. The Seller will transfer ownership of the Shopify store to the Buyer as per the Shopify platform's terms and conditions.

4.3. The Seller will assist the Buyer in the handover of assets, including but not limited to domain names, social media accounts, and associated software and databases.

5. Post-Sale Support

5.1. The Seller will provide the Buyer with post-sale support for a period of 14 days. This support may include guidance on operating the Website, technical assistance, and answering questions related to the Website's operation via email.

Any additional work which is outside the scope of a reasonable question being answer can be billed out at an agreed hourly rate if required.

6. Transition Period

6.1. The Seller and Buyer acknowledge that a smooth transition period is essential to maintain the Website's functionality and continuity.

6.2. The Buyer will use best efforts to ensure that the Website continues to operate without disruptions during the transition period.
